The Federal Trade Commission shares US merger review with the Department of Justice and takes most consumer-goods, food and retail deals. Transactions above the annually adjusted Hart-Scott-Rodino threshold must be notified and observe a waiting period. The FTC may close the investigation, accept a consent order requiring divestitures, or sue in federal court to block the deal.
